Subfranchisor Attorneys
A subfranchisor, sometimes called a “Master Franchisee,” acquires the right (a “master franchise”) from a national or international franchise to offer and sell subfranchises within a particular exclusive territory. The subfranchisor performs the services of the Franchisor within that territory. The subfranchisor must comply with all of the federal and state franchise laws and regulations that apply to franchisors.
If you are investigating a master franchise opportunity, we can assist you in reviewing and negotiating the Master Franchise Agreement. You want to make sure that you understand what your legal obligations, rights, and responsibilities will be.
If you are already a subfranchisor and have already purchased a master franchise, and you are in the process of developing the franchise concept in your territory, you must comply with state and federal franchise laws in order to offer or sell the subfranchise. We are experienced in preparing subfranchise agreements, as well as the Franchise Disclosure Document for the subfranchise. Depending on your territory, you may have to register the subfranchise in the state where you are selling subfranchises. Our lawyers can assist you in registering your subfranchise offering.
