Skilled Franchise Attorneys
Regional control over the sale of a franchise, also known as a master franchise, can provide an unparalleled business opportunity. However, this must be handled carefully and cautiously to protect your interests.
If you are investigating an opportunity as a subfranchisor or if you are seeking advice regarding an existing franchise arrangement, the attorneys of Carter & Tani can effectively serve you.
Our attorneys have more than 30 years of experience handling business and franchise legal matters. As a smaller firm, we are able to provide personalized legal services. Without the overhead of larger firms, we can provide cost-effective representation. Contact us today to discuss your legal concerns.
With skilled legal representation, you can develop a strong regional franchise program as a subfranchisor.
A subfranchisor, sometimes called a Master Franchisee, Area Developer or Development Agent, acquires the right (a "master franchise") to offer and sell subfranchises within a particular territory from a national or international franchise.
Within that territory, the subfranchisor performs the services of the Franchisor. When offering a franchise for sale, the subfranchisor must comply with all of the federal and state franchise laws and regulations that apply to franchisors.
If you are planning to start a business as a Master Franchisee or Area Developer, we can assist you in reviewing and negotiating the Master Franchise Agreement or Area Developer Agreement. You want to make sure that you understand your legal obligations, rights, and responsibilities before you begin offering franchises for sale.
If you are already a subfranchisor and you are in the process of offering the franchise for sale in your territory, you must comply with state and federal franchise laws. We have experience preparing subfranchise agreements, as well as the Franchise Disclosure Document for the subfranchise. Depending on your territory, you may have to register the subfranchise with the state where you are selling subfranchises.
We provide a full range of services for subfranchisors:
